By making this application for trade credit, I / we acknowledge and accept the following:
I/we agree and authorise Funktion Australia Pty Ltd to make enquiries in support of this application for the assessment of my / our credit worthiness.
I / we agree to comply with Funktion Australia Pty Ltd credit terms, being net 14 days. i.e. Payment is made within 14 days from the date of invoice.
I / we understand that any item purchased from Funktion Australia Pty Ltd, remains the property of Funktion Australia Pty Ltd until such time payment has been received in full.
Funktion Australia Pty Ltd will provide a Funktion Australia Pty Ltd reserves the right to suspend the delivery of further goods should the payment of the order not strictly be adhered to.
Funktion Australia Pty Ltd reserves the right to suspend or cancel credit terms or pending credit applications should the temporary account period be defaulted.
Failure to provide payment before or by the due date on credit term invoices (unless otherwise agreed to in writing) is a default under this agreement which, Funktion Australia Pty Ltd is entitled at any time to do any or all of the following:
a) Charge the purchaser late payment fees on any monies unpaid on the due date in accordance with the credit terms
b) Demand immediate settlement of invoices, outstanding late fees
c) Terminate the Agreement and require payment in full for all goods and/or services supplied up to the date of termination, or require the return of those Goods
d) Suspend/ hold all future deliveries until all outstanding invoices are paide) Temporarily suspend/ hold credit terms and credit account facilities for any period that the Funktion Australia Pty Ltd deems necessary or permanently cancel them
f) Funktion Australia Pty Ltd reserve the right to gain access to the premises to remove stock from premises if terms are not met or an arrangement in not agreed to by the directors
g) Funktion Australia Pty Ltd reserve the right to charge, a five (5%) late fee on the total of all overdue invoice/s, should an overdue invoice fall 30 days past the due date (or delivery date, whichever is the latter) per month. Subsequently, each month that passes without payment of the overdue invoice/s will incur a further five (5%) fee to the total of overdue invoice/s and late fee charge invoice/s.
h) Understand that a Credit Application must be completed in full and the original form presented for validity
Purchase Order Delivery Terms & Conditions
a. Once a purchase order is placed by the customer, it is irrevocable and cannot be withdrawn except with the consent in writing of Funktion in its absolute discretion.
b. All orders placed by the customer must be placed by 2pm the business day prior in order to be eligible for next day delivery.
c. Funktion is entitled to reject next day delivery where (1) Funktion does not have sufficient stock and is unable to supply a substitute product; or (2) there is an event beyond the reasonable control of Funktion that prevents delays in Funktion supplying stock; or (3) the customer is in breach of any of its obligations under the terms and conditions, such as payment terms.
d. Funktion will use all reasonable endeavours to provide next day delivery on orders in accordance with the provisions of this agreement.
e. Funktion shall not be in breach of this Agreement or otherwise liable to the customer for any delay or failure of delivery caused in whole or in part by any contingency beyond Funktion’s reasonable control.
